The Wild Lips LLC Terms of Use (“Site, discord and any affiliated brands Terms of Use”) apply to the Wild Lips LLC website, discord and any affiliated brands and platforms and applications, including TheDigital.Space, mobile website, owned and operated by Wild Lips LLC and our affiliates (“Wild Lips LLC”, “we”, or “us”) (collectively, the “Site, discord and any affiliated brands”). This Site, discord and any affiliated brands Terms of Use describe the conditions under which users of the Site, discord and any affiliated brands, whether registered (“Users”) or unregistered (“Site, discord and any affiliated brands Visitors”) (collectively and individually, “you”), are allowed to access or use the Site, discord and any affiliated brands. Please read these Site, discord and any affiliated brands Terms of Use carefully before visiting our Site, discord and any affiliated brands. BY USING THE SITE, DISCORD AND ANY AFFILIATED BRANDS, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE, DISCORD AND ANY AFFILIATED BRANDS. Professionals, community members, community, those who get hired, those for Hire, Profiles, Gurus, Experts or Geniuses are all terms we use interchangeably on this page and throughout all the pages and sites. Profiles are listings of individuals posted who get hired independent of Wild Lips, LLC. We treat these individuals as completely separate from Wild Lips, as the community can refer and hire them, using Wild Lips Discord Server as a channel for them to access their favorite individuals on a platform with a central goal of hiring experts in many industries but Wild Lips, LLC is not responsible for any one hired on this platform, site or discord.
This is a community. Wild Lips LLC is not hiring anyone. We are not employing anyone. If any community member has a non compete, that is up to the community member to manager with their own legal representation. Wild Lips is not liable for any relationship that is formed on any of its websites, discord or affiliated brands and platforms.
No obscene content will be tolerated on our platform across our site, discord or any platform we are affiliated with. This includes text, images, or links featuring nudity, sex, hard violence, or other graphically disturbing content. No service involving Adult, Pornography, Sexual Content or NSFW content will be tolerated on the Wild Lips platform. Instant removal, if that activity is found, for ever, no exceptions.
If any Artwork is shown in trainings, tutorials or NFT shills that show nudity, we believe that is expressive for purposes of tutorial, instruction or design, as long as the community feels it is not offensive. We will always stay cautious of any material that is potentially obscene so we keep Wild Lips as clean as possible.

1. LICENSES AND THIRD-PARTY CONTENT
1.1 WILD LIPS LLC’S PROVISION OF THE SITE, DISCORD AND ANY AFFILIATED BRANDS AND LIMITED SITE, DISCORD AND ANY AFFILIATED BRANDS LICENSE INCLUDING TheDigital.Space
We give you a limited license to use the Site, discord and any affiliated brands, discord and any affiliated brands.
Wild Lips LLC grants you a limited license to access the Site, discord and any affiliated brands and Site, discord and any affiliated brands Services (collectively, the “Services”) including TheDigital.Space. This license is subject to and conditioned on compliance with the Site, discord and any affiliated brands Terms of Use and, to the extent applicable, the rest of the Terms of Service.
We try to keep our Services safe, secure, and functioning properly, but we cannot guarantee the continuous operation of or access to our Services. In fact, we might even stop providing the Services completely or stop providing certain features without notice.
1.2 TERMINATION OF THE LIMITED SITE, DISCORD AND ANY AFFILIATED BRANDS LICENSE
We can stop letting you use the Site, discord and any affiliated brands.
Wild Lips LLC may terminate any license it has granted to any Site, discord and any affiliated brands Visitor or User to access the Services by providing notice, and the termination of such license shall be effective immediately upon Wild Lips LLC providing such notice.
1.3 WILD LIPS LLC'S INTELLECTUAL PROPERTY
Even though we let you use the Site, discord and any affiliated brands, we still retain all our rights.
Wild Lips LLC retains all intellectual property rights on this site and discord and any affiliated properties including TheDigital.Space excluding any wordpress theme functionalities or APIS, as this is all through partnerships. All other product names, company names, marks, logos, and symbols used in connection with the Wild Lips, LLC may be the trademarks of their respective owners who advertise their profiles for others to hire them.
Nothing in the Terms of Service grants you a right to use any Wild Lips LLC trademarks.
1.4 YOUR INTELLECTUAL PROPERTY
1.4.1 YOUR OBLIGATIONS AND YOUR INDEMNIFICATION OF WILD LIPS LLC
You are responsible for your use of the Site, discord and any affiliated brands and anything you post on the Site, discord and any affiliated brands. If someone makes a claim against Wild Lips LLC because of anything you put on the Site, discord and any affiliated brands, you agree to pay Wild Lips LLC for our fees and expenses and to indemnify Wild Lips LLC.
When you post User Content on or through the Site, discord and any affiliated brands or provide Wild Lips LLC with User Content, you understand and acknowledge that you are solely responsible for such User Content. Further, you agree to only post or provide User content that does not violate the law or anyone’s rights (including intellectual property rights). You also represent that you have the right, power, and authority to grant the licenses specified below.
You acknowledge and agree that the poster of User Content, and not Wild Lips LLC, is responsible for any User Content including any harms caused to anyone by such User Content.
You will indemnify, defend, and hold harmless Wild Lips LLC, our Affiliates, and our respective directors, officers, employees, representatives, and agents (each an “Indemnified Party”) from any and all claims, actions, suits, proceedings, damages, liabilities, costs, losses, and expenses (including attorneys’ fees) relating to or arising out of any User Content you post.
1.4.2 YOUR RIGHTS AND LICENSE TO WILD LIPS LLC AND OTHER SITE, DISCORD AND ANY AFFILIATED BRANDS VISITORS
By posting content on the Site, discord and any affiliated brands, you give others some rights to that content.
You retain all ownership rights in any User Content you post on Wild Lips LLC. You also grant to Wild Lips LLC and our successors and Affiliates a royalty-free, sub-licensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, publicly perform, publicly display, and make derivative works of all such User Content and your name, voice, and/or likeness as contained in your User Content for use in connection with the Site, discord and any affiliated brands and Wild Lips LLC’s businesses. You also hereby grant each User and each Site, discord and any affiliated brands Visitor a non-exclusive license to access your User Content through the Site, discord and any affiliated brands and to use, reproduce, distribute, and display such User Content as permitted through the normal functionality of the Site, discord and any affiliated brands and subject to all applicable confidentiality and other provisions of the Terms of Service and applicable law.
We have the right, without compensation to you or others, to serve ads near your content and information. Subject to choices you make within your Wild Lips LLC Profile, we may also mention your use of a feature of the Services, along with your name or photo to promote that feature.
1.4.3 YOUR COMMENTS AND IDEAS
When you can send your ideas to Wild Lips LLC.
You may submit comments or ideas about the Services (“Ideas”). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited, and without restriction, that it will not place us under any fiduciary, confidentiality or other obligation, and that we are free to use the Idea without any obligation of compensation to you, and/or to disclose the Idea on a non-confidential basis or otherwise to anyone. You further acknowledge and agree that, by acceptance of your submission, Wild Lips LLC does not waive any rights to use similar or related ideas, including those known or developed by Wild Lips LLC or obtained from sources other than you.
1.5 THIRD-PARTY INTELLECTUAL PROPERTY
Third parties, including other Users, are responsible for anything posted or linked on the Site, discord and any affiliated brands.
Any information or content expressed or made available by a third party is that of the respective author(s) or distributor(s) and not of Wild Lips LLC. Wild Lips LLC neither endorses nor is responsible for the accuracy or reliability of any opinion, advice, information, or statement made on the Site, discord and any affiliated brands by anyone other than Wild Lips LLC’s authorized agents acting in their official capacities.
The Site, discord and any affiliated brands may contain links to third-party website, discord and any affiliated brands. The Site, discord and any affiliated brands may also contain applications that allow you to access third- party website, discord and any affiliated brands via the Site, discord and any affiliated brands. Such third-party website, discord and any affiliated brands or applications are owned and operated by the third parties and/or their licensors. Wild Lips LLC is committed to complying with U.S. copyright and related laws and requires all Site, discord and any affiliated brands Visitors and Users to comply with these laws. Accordingly, you may not use the Site, discord and any affiliated brands to store or disseminate any material or content in any manner that constitutes an infringement of third-party intellectual property rights, including rights granted by U.S. copyright law.
If you are the owner of any copyrighted work and believe your rights under U.S. copyright law have been infringed by any material on the Site, discord and any affiliated brands, you may take advantage of certain provisions of the Digital Millennium Copyright Act by complying with Wild Lips LLC’s Proprietary Rights Infringement Reporting Procedures.
2. PERMITTED SITE, DISCORD AND ANY AFFILIATED BRANDS USES
You may use our site for business purposes only.
Wild Lips LLC offers our site and discord for your business & professional purposes only and not for personal, household, or consumer use. Wild Lips LLC makes the platform and community available for everyone or users to find one another, enter into service relationships, make and receive payments directly with each other independently and independent of Wild Lips, LLC, and Wild Lips, LLC is not responsible for any payment, transaction or any business between individuals that around found and connected via Wild Lips LLC or its sites, discord or properties including TheDigital.Space. In addition, certain Visitor Site, discord and any affiliated brands may be used to provide and obtain general information that we believe may be of interest to Site, discord and any affiliated brands Visitors and Users. While we try to ensure that any information we post is both timely and accurate, errors may appear from time to time. We do not make any representations or warranties with respect to informational materials posted on the Site, discord and any affiliated brands and in no event should any content be relied on or construed as tax or legal advice or otherwise. You should independently verify the accuracy of any content.
3. PROHIBITED SITE, DISCORD AND ANY AFFILIATED BRANDS USES
Certain uses of the Services are not allowed.
You may not use, or encourage, promote, facilitate, instruct, induce, or otherwise influence or cause others: (1) to use the Services for any activities that violate applicable law or for any other fraudulent or harmful purpose or (2) to transmit, store, display, distribute or otherwise make available content that is illegal, fraudulent or harmful to others.
3.1 EXAMPLES OF PROHIBITED USES OF THE SITE, DISCORD AND ANY AFFILIATED BRANDS
The following are examples of uses that are prohibited on or when using the Services:
Seeking, offering, promoting, supporting, or endorsing services, content, or activities that:
are defamatory, illegal, violent, profane, vulgar, threatening, unlawfully discriminatory, pornographic, obscene, sexually explicit in nature, or involve or relate to child exploitation of any kind;
would violate the intellectual property rights, such as and including copyrights, of another person, entity, service, product, or website, discord and any affiliated brands;
would violate Wild Lips LLC’s Terms of Service, the terms of service of another website, discord and any affiliated brands, or any similar contractual obligations;
violates academic or professional policies or standards, including activities that involve passing off academic or professional work of another as one’s own, such as academic ghostwriting or taking academic or professional tests or certifications on another’s behalf;
concern the creation, purchase, and/or publication of a review for a third-party website, discord and any affiliated brands;
concern the creation, publication, or distribution of “fake news”, “hoax news”, misinformation, Deep Fake content or similar content, which in Wild Lips LLC’s determination is intended to mislead recipients for personal, financial, political or other gain or advantage;
concern or promote in any way any escort services, prostitution, or sexual acts; or
is violent or harassing toward another person or endorses or encourages violence or harassment towards others, in each case in Wild Lips LLC’s determination, including based on the individual’s or group’s inclusion in a protected class as defined by applicable law.
Fraudulent or misleading uses or content, including:
attempting to or fraudulently billing any Community Members, including by (i) falsifying or manipulating the hours, keystrokes, or mouse clicks recorded in the Wild Lips LLC App, (ii) reporting, recording, or otherwise billing Community Members for time that was not actually worked, or (iii) on an hourly contract, reporting, recording, or otherwise billing hours worked by another person as hours worked by you in a way that is misleading or false;
misrepresenting your experience, skills, professional credentials or license, information or identity, including by representing a portion or all of another person’s profile, credentials or license as your own;
using a profile photo that is not you, misrepresents your identity or represents you as someone else;
falsely stating or misrepresenting your affiliation or relationship with a person or entity or impersonating any person or entity, including but not limited to an Wild Lips LLC representative or forum leader;
falsely stating or implying a relationship with another User, including an Agency continuing to use a Guru’s profile or information after the Guru no longer works with the Agency;
falsely attributing statements to any Wild Lips LLC representative, forum leader, guide or host;
allowing another person to use your account, which is misleading to other Users; or
falsely stating that one Guru will perform the work on a job when another will in fact perform the work, including submitting a proposal on behalf of a Guru that is unable, unwilling, or unavailable to do the work.
Inciting or encouraging violence;
Posting identifying information concerning another person;
Spamming other Users with proposals or invitations, including by making unsolicited contact of Users off the Wild Lips LLC platform, or by posting the same job multiple times so that more than one version remains active at a given time;
Making or demanding bribes or demanding other payments without the intention of or without actually providing services in exchange for the payment;
Requesting or demanding free services, including requesting Gurus to submit work as part of the proposal process for very little or no money or posting contests in which Gurus submit work with no or very little pay, and only the winning submission is paid the full amount;
Requesting a fee before allowing a User to submit a proposal;
Attempting to or actually manipulating or misusing the feedback system, including by:
withholding payment or work product or engaging in any other conduct for the purpose of obtaining positive feedback from another User;
attempting to coerce another User by threatening to give negative feedback;
expressing views unrelated to the work in the feedback system, such as political, religious, or social commentary;
providing anything of value to any person (including to a third party who provides assistance in obtaining feedback) or using any service of any type in order to obtain feedback; or
offering services for the sole purpose of improving your feedback or rating score, which is also called feedback building.
Duplicating or sharing accounts;
Selling, trading, or giving an account to another person without Wild Lips LLC’s consent;
Interfering or attempting to interfere with the proper operation of the Services or any activities conducted on the Site, discord and any affiliated brands, including by:
overriding any security feature or bypassing or circumventing any access controls or use limits of the Services;
attempting to or actually interfering with or compromising the system integrity or security of the systems running the Site, discord and any affiliated brands, or attempting to or deciphering any transmissions to or from the systems running the Site, discord and any affiliated brands;
using any robot, spider, scraper, or other automated means to access the Site, discord and any affiliated brands for any purpose without our express written permission;
copying, using, disclosing or distributing any information obtained from the Services, whether directly or through third parties (such as search engines), without the consent of Wild Lips LLC;
collecting or harvesting any personally identifiable information from the Site, discord and any affiliated brands, including Account names;
attempting to or imposing an unreasonable or disproportionately large load (as determined by Wild Lips LLC) on the Site, discord and any affiliated brands’ infrastructure;
introducing any Malware or any other harmful or malicious code on the Site, discord and any affiliated brands or in relation to the Services;
attempting to or accessing the Services by any means or technology other than the interface provided by us; or
framing or linking to the Services except as permitted in writing by Wild Lips LLC.
Conduct or actions that could jeopardize the integrity of or circumvent the Services or Wild Lips LLC’s proprietary information, including:
attempting to or actually reverse engineering, decompiling, disassembling, deciphering or otherwise attempting to derive the source code for the Services or any related technology that is not open source unless expressly permitted by Wild Lips LLC; or
accessing or using the Services to build a similar service or application, identify or solicit Wild Lips LLC Users, or publish any performance or benchmark test or analysis relating to the Site, discord and any affiliated brands.
3.2 ENFORCEMENT AND TERMINATION
We reserve the right to investigate any potential violation of this Section 3 or any other potential violation of these Site, discord and any affiliated brands Terms of Use and to remove, disable access to, or modify any content on the Site, discord and any affiliated brands. We do not guarantee we will take action against all breaches of the Terms of Service, and our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
We may terminate your use of the Site, discord and any affiliated brands at any time, which will mean you lose the right to access or use the Services. Our rights to use and disclose your feedback, our and Users’ and Visitors’ rights to further re-share content you shared through the Services, and Section 3 of these Site, discord and any affiliated brands Terms of Use shall survive any such termination, subject to applicable law.
3.3 REPORTING AND CORRECTING VIOLATIONS
If you become aware of any violation of these Site, discord and any affiliated brands Terms of Use, please report it to Customer Service or by clicking the link on the Site, discord and any affiliated brands where you see this flag: You agree to assist us with any investigation we undertake and to take any remedial steps we require in order to correct a violation of these Site, discord and any affiliated brands Terms of Use.
A Former promoter created ads and informed us to create royalty giveaways that were not allowed or US Tax or securities permitted. If you saw previous signage or advertising for other royalty rewards, we sincerely apologize. Please follow our website for all terms and conditions for all legalities of our platform.
4. DEFINITIONS
Provides some definitions of capitalized terms that appear in the Site, discord and any affiliated brands Terms of Use. Other capitalized terms are defined above or in the User Agreement, which you can tell because the term is put in quotation marks and bold font. Capitalized terms not defined below or earlier in this document have the meanings described in the Terms of Service.
“Affiliate” means any entity that, directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with Wild Lips LLC.
“Community Members” means any visitor or user utilizing the Site, discord and any affiliated brands to seek and/or obtain Services or hire another User.
“Deep Fake” means media that is altered in order to replace a person in an existing image or video with someone else’s likeness in a realistic manner without permission or authorization of the person whose likeness is used.
“Guru”, “expert”, “professional”, “user”, means any User utilizing the Site, discord and any affiliated brands to advertise and/or provide Services to Community Members.
“Services” means any services provided by professional or profile or user of our site.
“Means of Direct Contact” has the meaning set forth in the User Agreement.
“Public Site, discord and any affiliated brands Services” means, collectively, all services, applications and products that are accessible by any Site, discord and any affiliated brands Visitor who has not become a User through the Site, discord and any affiliated brands.
“Site, discord and any affiliated brands Services” means, collectively, all services (except the Guru Services defined above), applications and products that are accessible through the Site, discord and any affiliated brands, including the Public Site, discord and any affiliated brands Services.
“User Content” means any comments, remarks, data, feedback, content, text, photographs, images, video, music, or other information that you or any Site, discord and any affiliated brands Visitor or User post to any part of the Site, discord and any affiliated brands or provide to Wild Lips LLC, including such information that is posted as a result of questions.
Non Discrimination Policy:
Wild Lips LLC’s mission is to create economic opportunities so everyone can earn livings from home using their magical expertise. Key to our mission is that these opportunities should be equally available to all qualified talent in our community, regardless of background, nationality, race, ethnicity, sex, gender, gender identity, sexual orientation, actual or perceived disability status, veteran status, marital status, or other similarly protected characteristics. Wild Lips LLC’s goal is for members of our community to feel welcome on the Site. A condition of using the Site is your agreement not to engage in any unlawful discrimination or harassing conduct.
Such conduct is not permitted on Wild Lips LLC by any member of our community. Wild Lips LLC does not require Users to violate local laws or take actions that may subject them to legal liability. Wild Lips LLC will take actions to enforce this policy. Users engaging in this activity are subject to Account closure. Please bring any reports of discrimination or harassment to our attention at support@wildlips.co .
If a Community Members starts engaging in conversation by holding or not holding Wild Lips affiliated NFTS on any site or platform it implies they use Wild Lips LLC, and this Agreement (this “Agreement”) applies to these engaged Community Members with or with out NFTs. Your use of the Site after the effective date will signify your acceptance of and agreement to this Agreement. Please refer to the Terms of Service for the complete terms governing your usage of the Site and Site Services. Capitalized terms not defined in this Agreement have the meanings in the Terms of Services.
This Agreement is a binding legal agreement by and between Community Members (“Community Members” and “you”) and Wild Lips LLC (“Wild Lips” or “we”) and supersedes and replaces all prior agreements between Community Members and Wild Lips LLC .
HIRING POLICIES AND OVERVIEW
1. WILD LIPS AS A COMMUNITY LISTING WITH USERS AVAILABLE FOR HIRE
When anyone uses the Wild Lips platform or discord or site to hire, that individual hiring is directly hiring that individual is in charge of that relationship directly with that hired individual and all hired individuals are all independent parties. Everyone will be responsible for managing their relationship with anyone hired. Those hired are not employees or affiliates of Wild Lips in any way. Those hired by anyone finding information using Wild Lips, are independent of Wild Lips and works directly with those they hire them.
2. HIRING DECISIONS; LIMITATIONS ON HIRING
Wild Lips LLC does not (a) select the individual or (b) have the authority or ability to decide to engage or end the engagement of the individual or profile on behalf of anyone who hires.
3. DISCLAIMER OF LIABILITY FOR WILD LIPS LLC
All parties acknowledges and agrees that they are solely responsible for any Services and for all work performed and Work Product even if you found that individual on a Wild Lips property or site. Wild Lips LLC provides no express warranty of, will have no implied warranty of, and will have no responsibility for any individual hired or word product. Wild Lips LLC expressly disclaims all express and implied warranties for Services and/or Work Product of anyone hired, including, without limitation, warranties of non-infringement, merchantability, and fitness for a particular purpose. As between those you hire and those who get hired, Service & Work Product, and deliverables are provided AS IS and Wild Lips is not liable or responsible for any actions, commentary or services provided by the individuals who get hired by the Wild Lips community. All who engage in our site, discord or affiliate companies understand that Wild Lips LLC will not be held liable for anyone on the platform and each individual using Wild Lips platform will handle any legalities, business or agreement independently of Wild Lips LLC.
4. WORK ENVIRONMENT
All site visitors and those who get hired will be solely responsible for ensuring that the work environment is safe and free from harassment and discrimination as required by applicable law.
5. LIMITATIONS ON SCOPE OF EMPLOYMENT
If anyone hired is required to possess or maintain any license or be supervised by a supervisor with a special license, you, as the one hiring, will be responsible for verifying such license and/or providing such supervision since these are all independent 1:1 sessions and not under the supervision or control of Wild Lips or its affiliates.
Community Members acknowledges and agrees that those who are hired are not employees of Wild Lips LLC and that Wild Lips LLC does not supervise or control work schedules. Community Members further acknowledges and agrees that (a) Wild Lips LLC does not have the power or ability to require anyone to start or stop work; (b) Wild Lips LLC does not determine or control any term or condition of engagement with any community member (including, but not limited to, pay, work hours, work schedules, work locations, performance evaluations, discipline, and termination); (c) Wild Lips LLC merely provides the platform for Community Members to find someone to hire and separately facilitates the opportunity to buy NFTs to fund this project.
Paying relationships is a direct relationship among community members and those who get hired. Those who get hired are able to request any form of payment on their directory listing page and at any prices they request. One of the many ways community members can gift the experts is with our Spirit Token NFT. The Spirit Token NFT can be used by community members and redeemed by individuals for Ethereum gifts in exchange for work or services.
Do not contact Wild Lips for any relationship issues. If there are issues please add it to our discord and we will handle it directly via the discord community comments.
Those who get hired and are listed on our site, will be responsible for filing taxes and handling all accounting for compensation or NFT’s received for the services.
If you are based in the United States and receiving gifts from Wild Lips, we will be required to fill out this form, so we can fill out the proper US gift tax paperwork. Those who refuse, will not receive any gifts. Its simple, comply with normal tax regulations when we give you gift, or you will NOT get the gift from us during gifting season. If you are in the US and earning more than $14,999.99 in ETH value from Wild Lips, you will be required to fill out proper tax paperwork for ETH to be sent over.
6. INDEMNIFICATION
In addition to the indemnification obligations set forth in the User Agreement, Community Members agrees to (a) release, indemnify, hold harmless, protect, and defend Wild Lips LLC and its respective partners, employees, directors, officers, agents, affiliates, and subsidiaries (each an “Indemnified Party”) from and against any and all claims by any person or entity, including a Guru or Helper or other Community Member.
This indemnification provision will survive the expiration or other termination of this Agreement or Community Members’ relationship with Wild Lips LLC.
7. GENERAL PROVISIONS
7.1 Governing Law
This Agreement and any Claim or action related thereto will be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Community Members located in the United States and its territories agree that any Claim between Community Members and Wild Lips LLC must be resolved as described in the subsections of the User Agreement titled “Informal Dispute Resolution” and “Mandatory Binding Arbitration and Class Action/Jury Trial Waiver.”
7.2 Severability
If any provision of this Agreement is, for any reason, held to be invalid or unenforceable, the other provisions of this Agreement will be unimpaired, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by applicable law.
7.3 No Assignment
This Agreement, and the parties’ rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by a party without the other party’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void.
7.4 Waiver
Any waiver or failure to enforce any provision of this Agreement on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.
7.5 Execution and Delivery; Binding Effect
The parties will evidence execution and delivery of this Agreement with the intention of becoming legally bound, by accepting the Terms of Service on the Site.
